End-User License Agreement (EULA)

1. License Grant

Subject to your compliance with these terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our software-as-a-service platform for your internal business purposes. This license does not include any right to resell, redistribute, or sublicense the service.

2. Restrictions

You agree not to:

• Copy, modify, or create derivative works of the service
• Reverse engineer, decompile, or disassemble the service
• Remove or alter any proprietary notices or labels
• Use the service for any illegal or unauthorized purpose
• Interfere with or disrupt the service or servers connected to the service

3. User Content and Data

You retain all ownership rights to your data and content. By using the service, you grant us a license to use, store, and process your data solely for the purpose of providing and improving the service. You are solely responsible for the accuracy, quality, and legality of your data.

4. Third-Party Integrations

Our service integrates with third-party services, including QuickBooks Online. When you use these integrations:

• You authorize us to access and use your data from these third-party services
• You are responsible for maintaining your accounts with third-party services
• We are not liable for any issues arising from third-party service integrations
• You may revoke access to third-party services at any time through your account settings

5. Intellectual Property

The service, including all software, code, designs, text, graphics, and other content, is protected by copyright, trademark, and other intellectual property laws. All rights not expressly granted to you are reserved by us and our licensors.

6. Termination

This license is effective until terminated. We may terminate or suspend your access to the service immediately, without prior notice, if you breach any terms of this agreement. Upon termination, your right to use the service will cease immediately, and we may delete your account and data.

7. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

9. Updates and Modifications

We reserve the right to modify, update, or discontinue the service at any time. We may also update this EULA from time to time. Continued use of the service after such modifications constitutes your acceptance of the updated terms.

10. Governing Law

This EULA shall be governed by and construed in accordance with the laws of the jurisdiction in which we operate, without regard to its conflict of law provisions.
